1. Acceptance of Terms

By accessing or using the services provided by Contour Software LLC ("we," "our," or "us"), you agree to be bound by these Terms & Conditions. If you do not agree, please do not use our services.

2. Services

We provide custom software development services, including but not limited to web applications, client portals, and related consulting. The specific scope of work for each project will be defined in a separate agreement or statement of work.

3. Client Obligations

As a client, you agree to:

• Provide accurate and complete information as required for the project
• Respond to requests for feedback and approvals in a timely manner
• Ensure that any materials you provide do not infringe on third-party rights
• Make payments in accordance with the agreed-upon schedule

4. Intellectual Property

Upon full payment, you will own the custom software developed specifically for your project. We retain ownership of any pre-existing tools, frameworks, or libraries used in development. We may retain the right to showcase the project in our portfolio unless otherwise agreed.

5. Payment Terms

Payment terms will be specified in the project agreement. Late payments may incur additional fees and may result in suspension of services until the outstanding balance is resolved.

6. Limitation of Liability

To the maximum extent permitted by law, Contour Software LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from the use or inability to use our services.

7. Termination

Either party may terminate a project engagement with written notice as specified in the project agreement. Upon termination, you will be responsible for payment of all work completed up to the termination date.

8. Governing Law

These Terms & Conditions are governed by and construed in accordance with the laws of the state in which Contour Software LLC operates, without regard to its conflict of law provisions.
